Reporting to: Chief Investment Officer.
Location: Lagos State.
Role Purpose
To provide fundamental investment analysis and research and market analysis on Nigerian companies, markets and sectors covering various asset classes.
Responsibilities
• Financial statement analysis and company valuation
• Bond & money market analysis, pricing and valuation
• Economic analysis and reporting
• Other markets as required
• Working knowledge of the equity, bond, money and property markets
• Working with computerised financial information systems.
• Report writing
• Providing financial training for other staff.
• Working with other support functions; Microsoft suit � Excel, Word, etc

Requirements
• A 1st degree in Accounting or Economics
• Relevant Masters Degree would be an added advantage

Unit Head - Audit and Investigations Unit

Reporting to: Group Head - Systems and Control Group.
Location: Lagos State.
Responsibilities
Coordinate and carry out periodic audit exercises
Carry periodic asset verification exercises
Periodic scrutiny of ledger account transaction and balances
Perform payroll review
Liaison with External Auditors, where the need arises
Reconciliation of bank accounts allotted
Validation of entries in AIMS, AimsFriendly and other applications used by the Company
Reviews Company's monthly production with financial statistics.
Evaluate existing processes and controls for weaknesses, and make recommendations where necessary
Carry out fraud and necessary investigations, when the need arises
Carry out System assurance
Internal Audits
Requirements
A 1st degree in Accounting or any other related discipline
ACCA, ICAN qualification will be an advantage
Audit Experience in an international firm of accountants
Excellent use of Microsoft suite � Excel, Word, etc
The ability to motivate a team

Good planning and organisational skills

Group Head, Legal & Claims
Reporting to: Chief Client Officer
Location: Lagos State
Role Purpose
To perform the duties of the Company Secretary by acting in accordance with the law regarding this position and working closely with the Board and Executive Management. Specifically, the individual will ensure that the company complies with the law on running a company in Nigeria as well as ensure compliance with good corporate governance practices in matters relating to the Board.
He will also manage both the Legal and Claims functions of the Company.
Key Responsibilities and Accountabilities
Company Secretary Responsibilities
• Organizing, preparing agendas for, and taking minutes of board meetings and annual general meetings (AGMs)
• Preparation of some of the board papers on behalf of Executive Management
• Maintaining statutory books, including registers of members, directors and secretaries
• Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders
• Contributing to meeting discussions as and when required, and advising Board and Executive management on the legal and governance implications of proposed policies
• Monitoring changes in relevant legislation and the regulatory environment, and taking appropriate action
• Liaising with external regulators and advisers, such as lawyers and auditors
• Developing and overseeing the systems that ensure the company complies with all applicable codes, as well as its legal and statutory requirements, especially with regards to NSE, NAICOM and SEC
• Issuing share certificates and recording transfers of shares
• Filing of documents at the Companies Registration Office including changes of registered office, changes of directors and/or secretary and their particulars
• Ensuring that documents are filed with the Registrar of Companies within the prescribed time limits such as the company's annual and other returns
• Communicating with the company's members and notifying the members of meetings of the company, details of proposed resolutions to be considered at meetings, circulating them with copies of the annual financial statements
• Delivering copies of special resolutions and certain other resolutions passed by the company
• Publishing statutory notices
• Administering share transfers
• Ensuring that the board's decisions are properly communicated
• Custody of the company seal
• Ensuring the company has its name in legible lettering, outside each place at which it conducts business
• Ensuring that the company's letterhead bears the appropriate details
Legal Advisor
• Responsible for advising the company on all business matters
• Responsible for liaising with security agencies on behalf of the company and its staff
• Advise company on legal disputes
• Advise company on appropriate legal principles especially as it regards interpretation of insurance policies and claims adjustment
• Arrange and attend pre-trial conferences
• Attend court sessions on behalf of the company when necessary
Claims
• Oversee the activities of the Claims Unit (on a secondary basis)
• Ensure that the company's claims administration processes comply with best practice
• Ensure adherence to the approved Claims policies and procedures
• Oversee implementation and achievement of the Unit's budget
• Contribute to product development and policy wordings efforts of the company
Manage Legal & Claims Group
• Supervise Legal and Claims Unit Heads
• Advise on staffing and hiring decisions within the Group
• Manage and develop a team that is competent, dedicated and efficient
• Build relationships with our external solicitors.
Requirements
Skills and Specifications
• Should have the deep knowledge of corporate regulatory environment, company rules/laws and board practices/norms.
• Must have good communication and relationship management skills.
• Must be able to schedule meetings with company legal advisors and board of directors.
Education and Qualification
• Must be a graduate of Law, LLM is desirable but not essential
• Should have ICSA Qualifications
• Minimum 10 years work experience. It is desirable for the candidate to have spent some years in the position of a Company Secretary.
