JOB DESCRIPTION OF COMPANY SECRETARY/LEGAL ADVISERQualification & Experience• Relevant university degree(Preferably LL.B)• At least 2 years work experience on the job.• Age Not more than 35 years old Job Objectives To carrying out effective and efficient advisory roles on legal matters by providing adequate communication and compliance with statutory provisions as well as the maintenance and custody of the company’s statutory books. Roles & Responsibilities• Roles and responsibilities as prescribed by section 298(1) of Companies and Allied Matter Act (CAMA) 1999 as amended.• Attending the meetings of the company, the Board of Directors and its committees, rendering all necessary secretarial services in respect of meetings and advising on compliance by the meetings with the applicable rules and regulations;• Maintaining the registers and other statutory records;• Rendering proper returns and giving notifications required to be given to the Corporate Affairs Commission;• Carrying out such administrative and other secretarial duties as directed by the directors of the company.Specific Roles and Responsibilities• Formulation and key custodian of business policies • Review of offer letter and contractual agreements between the company and third parties• Ensure proper custody and maintenance of the statutory and other books of the company, such as register of charges and account books, register and index of members, register of Directors and Minutes books of General and Director Meetings etc.• To permit the inspection of the books at the appropriate hours to external auditors and representatives of regulatory authorities after due consultation with the directors and management• Maintaining the register of shareholders and monitoring changes in share ownership of the company• Summoning the meeting at the instance of the Board of Directors by issuing notices to all those who are entitled to receive them.• Preparation of the agenda in consultation with the Chairman or any designated authority• Providing the particulars for, or preparing the outline of any speech to be delivered by the Chairman or designated authority.• Gathering all reports, documents and correspondence, which are likely to be needed at the meeting and arranging them in order of business in conformity with the agenda• Attending in good time and ensuring that adequate arrangements are made for the meeting.• Contributing to meeting discussions as and when required, and advising members of the legal, governance, accounting and tax implications of proposed policies;• Filing any necessary returns, such as special resolutions, annual list, return of allotments, etc.• Sending copies of the minutes to members and other persons entitled to returns. • Rendering assistance and advice to the Chairman or any other board or management team member when necessary. • To compile and file all statutory returns with the Corporate Affairs Commission and also ensure effecting services of those notices.• Dealing with correspondence, ensuring prompt responses to notices and requests from regulatory bodies, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders;• Monitoring changes in relevant legislation and the regulatory environment, and taking appropriate action.• Liaising with external regulators and advisers, such as lawyers and auditors; ensure compliance with CBN and other regulatory bodies pronouncements ,guidelines and policies by providing feedback mechanism between the companies and the necessary government agencies• Providing necessary legal advice as it relates to employees health and safety, insurance matters and general labour law.• Provide the organization with regular and update information on CBN and other regulatory body’s policies as it affect the company’s operations.
